Terms Of Service

These Terms of Service (“Terms”) apply to your commercial use of ModuVend’s platform, hardware, and services. By signing up with ModuVend or engaging in a commercial agreement, you agree to these Terms.
ModuVend Ltd (“ModuVend”, “we”, “us”, or “our”) provides automated retail and advertising services via our proprietary vending units, digital screens, and technology infrastructure.
These Terms form a legally binding agreement between you (the “Client”) and ModuVend. If you do not agree with these Terms, do not use our services.

1. Overview
ModuVend offers premium, fully managed vending units to:
- Brands: To display, sell, and advertise physical products in high-footfall locations.
- Venues: To host ModuVend units in exchange for revenue share and guest experience enhancements.
Services include logistics, stocking, hardware, digital ad displays, sales tracking, and customer support.

2. Brand Partner Terms
As a brand client, you may:
- Reserve shelf and screen space within selected ModuVend units
- Provide your product inventory and branded advertising assets
- Receive sales performance reports and payouts on a regular basis

You agree to:
- Pay any onboarding, rental, or licensing fees (where applicable)
- Ensure all products comply with UK law and venue guidelines
- Maintain accurate inventory, pricing, and brand asset information
- Deliver stock and materials to designated warehouses on schedule

ModuVend will:
- Handle installation, replenishment, logistics, and unit servicing
- Play your video or static ads in accordance with the agreed media schedule
- Provide regular reports and facilitate payouts net of agreed fees

3. Venue Partner Terms
As a venue client, you may:
- Host one or more ModuVend units in your location
- Receive a share of revenue from all sales generated at your site
- Offer guests smart retail without additional staffing or interference

You agree to:
- Provide a suitable location with standard electrical and data connections
- Allow access to the units for servicing and restocking
- Support promotional efforts and co-branded marketing if agreed

ModuVend will:
- Install, service, and replenish all machines
- Handle product and advertising logistics
- Share monthly reports and remit revenue shares as agreed

4. Fees, Payouts & Commission
Unless otherwise agreed in writing:
- Brands pay a monthly shelf/screen rental and retain 55% of sales revenue
- Venues receive 20% of gross sales revenue from units hosted on site
- ModuVend retains 25% commission, covering logistics, tech, and servicing⠀
All payouts are made monthly, via bank transfer, with detailed statements.
Late or non-payment may result in service suspension or removal from units.

5. Cancellations & Termination
You may cancel your ModuVend partnership:
- With 30 days’ written notice, provided no active campaigns or product inventory are live in machines
- Brands may cancel before launch without penalty; post-launch cancellation requires notice and may be subject to pro-rata charges

ModuVend may terminate the agreement:
- For breach of these Terms
- If products are found to be unsafe, non-compliant, or in violation of venue rules
- With reasonable notice in the event of service restructuring⠀
Upon termination:
- All remaining stock must be collected or will be responsibly disposed of
- Final reports and settlements will be issued within 30 days

6. Intellectual Property
All brand assets (logos, videos, packaging, designs) remain your property.
All ModuVend software, hardware, visuals, designs, and unit IP remain owned by ModuVend Ltd.
You grant ModuVend a limited, non-exclusive license to use your brand materials solely for the purposes of this service (including marketing and press).

7. Data & Privacy
ModuVend will handle personal data according to its Privacy Policy and Data Processing Agreement.
You must not upload, transmit, or request any personal data beyond what is necessary for fulfilment and operations. You agree to comply with all applicable privacy laws (including GDPR).

8. Disclaimers & Limitations
While we make every effort to deliver high uptime, fast replenishment, and accurate reporting, we do not guarantee uninterrupted operation or error-free performance.
To the fullest extent permitted by law, ModuVend is not liable for:
- Lost revenue or indirect damages
- Product loss or theft once stocked
- Delays caused by third-party logistics or force majeure events

9. Changes to These Terms
We may update these Terms from time to time. We’ll notify active clients by email or platform messaging. Continued use after an update constitutes agreement to the revised Terms.

10. Governing Law
These Terms shall be governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located therein.
